User Agreement
 

Employer Plan Administration Center is an online service for Retirement Plan Sponsors who use an AXA Equitable group annuity contract as a funding vehicle for their qualified retirement plan. Employer Plan Administration Center provides up to date information about your particular Momentum sm group variable annuity contract. The use of Employer Plan Administration Center is only available on the terms and conditions set forth below. If you agree to these terms and conditions, you may use Employer Plan Administration Center. If you do not agree, you will not be able to use Employer Plan Administration Center. You may, however, continue to obtain information about your plan by calling Momentum Customer Service at 1-800-528-0204.

Please read this agreement carefully. We recommend that you print a copy of this agreement for your records. To print a copy of this agreement, select Print from the File menu and select OK from the Print Setup box. You may review this agreement at any time in the future by clicking on the Online Services Agreement link, which frequently appears on the Employer Plan Administration Center screens.

When you logged in to Employer Plan Administration Center, you used a password distributed to you by AXA Equitable. Immediately after logging in, click on the "Customer Service" tab to change your password. You are solely responsible for protecting that password from unauthorized use. We will presume that all instructions we receive through Employer Plan Administration Center from anyone using that password are instructions given by you, and we will not be responsible for transactions undertaken on instructions which we reasonably believe came from you.

Please follow directions carefully. If you are unclear about any directions in Employer Plan Administration Center, please contact us directly for assistance. We will not be responsible for any transaction if you do not properly follow all directions.

We will process transactions you request through Employer Plan Administration Center in a timely manner. Requests received prior to 4 PM, ET on an AXA Equitable business day will be effective that day. Requests received after 4 PM, ET, or on a non-AXA Equitable business day*, will be effective on the next AXA Equitable business day. Updated information about your Momentum Series contract reflecting the transactions made will generally be available on Employer Plan Administration Center and from Momentum Customer Service on the following AXA Equitable business day.

Requests made through Employer Plan Administration Center will be processed in the order received after all requests submitted to Momentum Administrative Service have been processed. The time a request is submitted will be determined in accordance with arrangements adopted by us from time to time for such purpose.

We will attempt to have Employer Plan Administration Center available at all times. We will also attempt to provide current accurate information on Employer Plan Administration Center at all times. However, we do not guarantee that this website will function without interruption or that all information provided is accurate or complete, and all information is subject to possible correction. This website and the opportunity to request transactions through it are being provided as an accommodation. Employer Plan Administration Center is not intended to provide an official record of your account.

We will not be liable if you are unable to obtain access to this website or information provided is inaccurate or incomplete or if a transaction you request cannot be completed due to systems problems, power failures, telecommunications failures, scheduling requirements or other circumstances beyond our control.

If at any time you are unable to access Employer Plan Administration Center, you can still obtain information about your Momentum group variable annuity contract and request transactions by calling the Momentum Customer Service Line, toll-free, at 1-800-528-0204. For specific contract terms and conditions on the Momentum group variable annuity contract that you have, please refer to the corresponding Prospectus or Employer Disclosure Brochure.

Please call the AXA Equitable Employer Plan Administration Center Customer Service Line, immediately, toll-free, at 1-800-528-0204, if you discover any of the following:

        - You have lost or forgotten your password.
        - Any unauthorized person has learned or               used your password;
        - Any information appears to be inaccurate             or incorrect;

AXA Financial Incorporated and its affiliates and subsidiaries, including AXA Equitable Life Insurance Company, AXA Life and Annuity Company, AXA Advisors, LLC and Alliance Capital Management L.P., will not be liable for any claims or damages of any nature, including direct, indirect, special, consequential, punitive or exemplary damages, including those that are related to or arise out of (i) the use of, the inability to use or interruptions in the use of Employer Plan Administration Center, (ii) any breach of security resulting from your failure to ensure the confidentiality of your personal information, including your password, (iii) breaches of security by third parties, or any content of Employer Plan Administration Center obtained by AXA Equitable from third parties.

*The term "AXA Equitable business day" means, generally, any day on which AXA Equitable is open and the New York Stock Exchange is open for trading. Additionally, we may choose to close on the day immediately preceding or following a national business holiday or due to emergency conditions. For purposes of determining the Transaction Date, AXA Equitable's business day ends at 4:00 P.M., Eastern Time.
